To provide some guidance for public boards, host TK Kerstetter invited compensation expert Annette Leckie, a partner with Meridian Compensation Partners, to sort through what compensation committees should be thinking about. Leckie covers how committees might take advantage of having more flexibility around discretion and how boards need to pay attention to aligning pay for performance and corporate strategy in their proxy’s CD&A.

“Goals are set at the beginning of the year and boards set those goals with the best knowledge at that point of the year,” said Leckie. “Then things happen during the year that could render these goals either too hard, too soft, or even irrelevant. So making adjustments at the end of the year can actually tighten up the pay that they receive with what they’ve actually accomplished during the year. Now that puts tremendous pressure on the directors themselves. They’ve got to have the confidence and the strength of conviction to make these changes.”
